The Service offered by Getclientspro, owner of the website www.getclientspro.com, consists of providing sessional activity with digital marketing assistance of social-media

managing social media—the Online Services present on Getclientspro.

The User is solely responsible for using the online Services present on Getclientspro.com, which is done at his own risk and falls entirely under his responsibility.

Getclientspro is a mere technical supplier of the Services and cannot be held responsible for the use that the User makes of them or for achieving the purposes of the Service itself.

Contents provided by the User

Users are responsible for their own and third-party content that they share on Getclientspro by uploading it, inserting content, or doing anything else. Users release Getclientspro from any liability for the illicit dissemination of third-party content or the use of Getclientspro in ways contrary to the law.

Appointment of Getclientspro as data controller

In particular, the User acknowledges and accepts that, by using the Service offered; they appoint Getclientspro to process personal data as a “data controller” under the European legislation on protecting personal data. The conditions of this assignment are determined by the agreement for appointment as data controller. This agreement, the conclusion of which is required by law, therefore forms an integral and binding part of the contractual relationship between Getclientspro and the User.

Purchase

Purchase Procedure

Each order sent constitutes an offer to purchase the Service. Orders are subject to availability and discretionary acceptance by Getclientspro. The User must select the chosen Service in the type and duration that he/she independently decides and complete the check-out only after having carefully verified the information contained in the Order Summary Form. The order is placed by confirming it and is subject to payment of the price indicated in the Order Summary Form.

The Order Processing Receipt does not constitute acceptance of the order. The Contract concludes when Getclientspro sends the Order Confirmation to the email address provided by the User. Getclientspro reserves the right to refrain from confirming an order and to communicate to the User within five working days of placing the order—to the email address associated with their purchase—any unavailability of one or more of the purchased Services. In this case, Getclientspro will refund any amount paid by the User.

Users must provide the requested data to place an order. The prices indicated include any applicable taxes, duties, and legal charges. Getclientspro reserves the right to offer different discounts and promotions during the year. Subscription

Some of the Services are offered on a subscription basis. In such cases, payments begin when Users choose a subscription payment plan or modify an existing one. The subscription must be renewed at each payment period to keep the paid Services active.

Automatic Renewal

Subscription subscriptions are automatically renewed through the payment method that the User has chosen at the time of purchase. The renewed subscription will extend for some time equal to the original Service period. Users can deactivate automatic renewal by changing their payment method preferences. In the event of non-renewal, Getclientspro may be forced to cancel the subscription upon its expiration.

Automatic update of subscriptions

Some subscription subscriptions available on Getclientspro may be automatically updated if the usage thresholds set for the subscription in use by the User are exceeded. In such cases, the update to the subscription appropriate to the level of use will be carried out automatically to guarantee continuity in the provision of the Service.

The payment instruments used will be the same as those the User chose for the subscription to the original plan. To allow the automatic update to be successful, the User must check that the payment instruments entered are valid. If the payment instruments indicated by the User are not usable, Getclientspro may be forced to suspend the Service provision.

The User is free to deactivate this automatic update feature by contacting Getclientspro. In this case, if the maximum usage thresholds allowed by your subscription are exceeded and you do not update the subscription once you have received notification, Getclientspro may be forced to suspend the provision of the Service.

In any case, Getclientspro will do its best to notify the User via email of the imminent exceeding of the maximum thresholds and, therefore, of the need to update their subscription.

Deactivation of the Service, withdrawal and refund

The User may interrupt the Service provision anytime through the tools offered by contacting Getclientspro directly.

In the event of deactivation, refund requests are not permitted for payments already made, even if these refer to portions of the Service not used by the User.

Getclientspro reserves the right, at its sole discretion and without this entailing any charges or obligations towards Users, to grant a refund in entirely exceptional cases once the case’s specific circumstances have been assessed.

Under the right of withdrawal, the User may make a refund request within 14 days from the date of activation or payment of the Service, sending a notice to Getclientspro via the contact information made available in this document and including in the request the identification details necessary to identify the purchase to which the refund request refers.

Getclientspro will proceed with the refund within 14 days of receiving the request, using the same payment instruments used in the transaction to be refunded.

Payment methods

Payments for purchasing our services must be made by bank transfer to the account indicated in the invoicing document. To facilitate the traceability of the payment, the customer is required to include the invoice number or the specific reference provided at the time of the order in the reason for the transfer. The services purchased will be activated only after confirmation of the crediting of the amount to our bank account.

If we do not receive payment by the expected date, we reserve the right to suspend or cancel the provision of the Service. Any bank commissions or transaction costs are the customer’s responsibility and cannot be deducted from the invoice amount.

Duration

The duration of the Service is indicated when the fee is paid and confirmed in the Order Confirmation Email sent by Getclientspro.

Modification of the payment plan

The User is free to change the chosen payment plan at any time.

If the User decides to modify their payment plan, the portion of the previous plan not yet used will be converted into a bonus that can be spent pro rata in the form of a free period applied to the newly chosen plan.

If a currency conversion is required, the criteria set out in the specific paragraph of this document will apply.

Currency conversion

Depending on the case, the exchange rate is decided by the operator who processes the payment, or, in its absence, Getclientspro will apply the one decided by the European Central Bank at the time of the transaction.

Interruption of the Service

Getclientspro reserves the right to add, remove features or characteristics or suspend or interrupt the provision of the Service altogether, either temporarily or permanently. In the event of permanent interruption, Getclientspro will act as soon as possible to allow users to withdraw their information hosted at Getclientspro.

Reselling the Service

Users are not authorized to reproduce, duplicate, copy, sell, resell or exploit any portion of iubendaand its Services without the express permission of Getclientspro, granted directly or through a specific reseller program.

Indemnity

The User agrees to indemnify Getclientspro (as well as any companies controlled or affiliated by the same, its representatives, directors, agents, licensees, partners and employees) from any obligation or liability, including any legal costs incurred to defend itself in court, that may arise from damages caused to other Users or third parties, about the content uploaded online, the violation of the terms of the law or the terms of these conditions of Service.

Unauthorized Use

The provisions of the Terms must use the Service.

Users may not:

• reverse engineer, decompile, disassemble, modify or create derivative works based on Getclientspro or any portion of it;

• circumvent the computer systems used by Getclientspro or its licensors to protect the content accessible through it;

• copy, store, modify, change, prepare derivative works or alter in any way any of the content provided by Getclientspro;

• use any robot, spider, site search/retrieval application, or other automatic device, process or means to access, retrieve, scrape, or index any portion of Getclientspro or any content therein;

• rent, license, or sublicense Getclientspro;

• defame, abuse, harass, stalk, threaten, or otherwise violate the rights (such as rights of privacy and publicity) of others;

Intellectual Property Rights

All trademarks of the Software/Application, figurative or nominative, and all other signs, trade names, service marks, word marks, trade names, illustrations, images, and logos that appear regarding Getclientspro are and remain the exclusive property of Getclientspro or its licensors and are protected by the laws in force on trademarks and related international treaties.

Age requirements

Users declare that they are of legal age according to the legislation applicable to them. Minors may use Getclientspro only with the assistance of a parent or guardian. Under no circumstances may minors under the age of 14 use Getclientspro.

Limitations of liability

Getclientspro and all the features accessible through Getclientspro are made available to Users under the terms and conditions of the Contract without any guarantee, explicit or implicit, that is not mandatory by law. In particular, no guarantee is provided of the suitability of the services offered for the particular purposes that the User intends. The use of Getclientspro and the functions accessible through Getclientspro is carried out by Users at their own risk and under their own responsibility.

Getclientspro, within the limits of applicable law, is liable for damages of a contractual and non-contractual nature towards Users or third parties exclusively by intent or gross negligence when these constitute an immediate and direct consequence of the activity of Getclientspro. Therefore, Getclientspro will not be liable for:

• any losses that are not a direct consequence of the violation of the Contract by Getclientspro;

• any loss of business opportunity and any other loss, even indirect, possibly suffered by the User (such as, by way of example and not limited to, commercial losses, loss of revenues, income, profits or presumed savings, loss of contracts or business relationships, loss of reputation or goodwill, etc.);

• damages or losses resulting from interruptions or malfunctions of Getclientspro due to force majeure events or, in any case, to unforeseen and unforeseeable events and, in any case, independent of the will and outside the sphere of control of Getclientspro such as, by way of example and not limited to, failures or interruptions to telephone or electrical lines, to the internet and in any case to other transmission tools, unavailability of websites, strikes, natural events, viruses and cyber-attacks, interruptions in the provision of products, services or third-party applications;

• incorrect or unsuitable use of Getclientspro by Users or third parties.

Changes to these Terms

Getclientspro reserves the right to change the Terms at any time, giving notice to the User by publishing them within Getclientspro.

The User who continues to use Getclientspro after publishing the changes accepts the new Terms without reservation.

Assignment of the Contract

Getclientspro reserves the right to transfer, assign, dispose of by novation or subcontract all or some of the rights or obligations arising from the Terms, provided that the User’s rights provided for herein are not prejudiced.

The User may not assign or transfer in any way their rights or obligations under the Terms without the written authorization of Getclientspro.

Communications

Ineffectiveness and partial invalidity

If any clause of the Terms is found to be void, invalid, or ineffective, it will be eliminated, while the remaining clauses will not be affected and will remain fully effective.

Applicable law and competent court

These Terms and all disputes regarding the execution, interpretation, and validity of this Contract are subject to the law, jurisdiction of the State, and exclusive jurisdiction of the court of the place where Getclientspro is based. The exclusive jurisdiction of the consumer is an exception if the law provides it.

Online dispute resolution for consumers

European consumers must know that the European Commission has established an online platform providing alternative dispute resolution tools. The European consumer can use this tool to resolve any dispute relating to and/or arising from contracts for the sale of goods and services stipulated online in a non-judicial manner. Consequently, if you are a European consumer, you can use this platform to resolve any dispute arising from the online contract stipulated by Getclientspro.
